I have exactly the same issue on host (Win7 Pro x64 SP1 + All Updates, i5 Sandy Bridge and 6 GB RAM) and guest (Win7 Home Basic x32).

I'm trying to set 3075 GB RAM for my virtual/guest OS but Vmware Player 4.0.2 tells me that there is not enough RAM and suggests me to reduce it to 2.2 GB, but actually I have about 4 GB of free RAM acording to Task Bar.

There is no such kind of issue in VMware Player 3.1.5 (based on Workstation 7).

Please, check this subject, probably, there is some issue in this module.
